2. Scope of Service

The Service provides:

The Service does not provide: legal advice, regulatory compliance certification, financial advice, identity verification, or professional advisory services of any kind.

Verification infrastructure for long-term truth persistence and cryptographic anchoring is provided by the VeridexCore transparency log, which serves as the authoritative system of record for receipt events.


No Professional Advice

The Services may generate structured outputs, capability artifacts, workflows, or automated decision logic derived from user-provided SOPs or instructions.

All outputs are generated automatically based on the information supplied by the user. VeridexCore does not verify the correctness, legality, completeness, or regulatory compliance of any SOP, workflow, rule, or capability submitted by users.

Outputs generated by the Service are provided for informational and operational automation purposes only and do not constitute legal advice, financial advice, compliance advice, or any other professional advisory service.

Customers are solely responsible for reviewing, validating, and approving any capability, workflow, or automated decision logic before deploying it in production or relying on it for operational decisions.


Verification and Receipt Limitations

The Service may produce cryptographic receipts, signatures, verification links, or other integrity proofs related to generated artifacts.

Such receipts verify only that a specific artifact or output was generated by the Service and has not been altered since creation.

Verification receipts do not certify the accuracy, legality, suitability, or fitness for purpose of any capability, workflow, or output.


Customer Responsibility

Customers are responsible for ensuring that any SOPs, rules, or operational instructions submitted to the Service are lawful, accurate, and appropriate for their intended use.

Customers remain solely responsible for any operational, regulatory, or commercial decisions made based on outputs generated by the Service.


Limitation of Liability

To the maximum extent permitted by law, VeridexCore's total liability arising out of or related to the Services will not exceed the greater of:

(a) one hundred U.S. dollars ($100), or

(b) the total amount paid by the Customer to VeridexCore in the twelve (12) months preceding the claim.

VeridexCore will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of business, or regulatory penalties.


Billing and Payments

Certain Service features, including capability export, may require payment. All payments are processed through Stripe, Inc. By making a purchase, Customer agrees to Stripe's terms of service in addition to these Terms.

VeridexCore does not store credit card numbers or payment credentials. All payment processing is handled by Stripe.

Fees are non-refundable except as required by applicable law.


Indemnification

Customer agrees to indemnify and hold harmless VeridexCore, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:


Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.


Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in the State of Florida under the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.


Class Action Waiver

Customer agrees that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Customer waives any right to participate in a class action lawsuit or class-wide arbitration against VeridexCore.


Termination

VeridexCore may suspend or terminate Customer's access to the Service at any time for violation of these Terms or for any reason with reasonable notice.

Upon termination, Customer's right to use the Service ceases immediately. Sections relating to Limitation of Liability, Indemnification, Governing Law, Arbitration, and Class Action Waiver survive termination.


Modifications

VeridexCore reserves the right to modify these Terms at any time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes constitutes acceptance of the modified Terms.
